Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, design studio, software platform and related services (“Services”) provided by Marks Emballage Private Limited (“Marks Group”, “we”, “our” or “us”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of terms

By visiting our website, submitting a Request for Quote, placing an order or using any of our Services, you confirm that you are at least 18 years of age, have the authority to bind the company or entity you represent, and agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our Services.

2. Services

Marks Group provides:

  • Manufacture and supply of pressure-sensitive labels in roll form.
  • An online design studio for configuring label specifications and requesting quotes.
  • A production intelligence and operations management software platform for label converters.
  • Related support, documentation and professional services.

We reserve the right to modify, suspend or discontinue any part of our Services at any time, with reasonable notice where possible.

3. Orders & contracts

Quotations. Quotes issued through the studio or by our sales team are valid for 30 days unless stated otherwise. A quote does not constitute a binding offer.

Purchase orders. A binding contract is formed when we issue a written Order Acknowledgement in response to your purchase order. Any terms and conditions on your purchase order that conflict with these Terms will not apply unless we have expressly agreed to them in writing.

Specifications. You are responsible for the accuracy of all artwork, dimensions and specifications provided. Marks Group will manufacture to the approved specification. We will seek your written approval on a proof before production unless you have waived this right in writing.

Minimum order quantities. Minimum order quantities (MOQs) apply and will be stated on the quote. We reserve the right to over-run or under-run orders by up to 10% of the ordered quantity; invoicing will reflect the actual quantity supplied.

4. Payment

Pricing. All prices are exclusive of GST and applicable taxes unless stated otherwise. Prices are subject to change with reasonable notice; confirmed orders are unaffected.

Payment terms. Standard payment terms are net 30 days from invoice date. Enterprise customers may negotiate alternative terms under a Master Supply Agreement. We reserve the right to charge interest on overdue amounts at 1.5% per month.

Credit. We may perform credit checks before extending payment terms. We reserve the right to require advance payment or a letter of credit for new customers or where there is a history of late payment.

5. Delivery & dispatch

Lead times. Standard lead times are stated on the quote. We target dispatch within 48 hours for stock SKUs; custom production lead times will be agreed at order stage.

Risk and title. Risk in goods passes to you on dispatch from our facility. Title passes on receipt of full payment.

Delivery. Unless otherwise agreed, goods will be delivered to the address specified on your purchase order. Delivery charges will be stated on the invoice.

Force majeure. We will not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, labour disputes, supplier failures or government actions. We will notify you promptly and work to minimise any delay.

6. Quality & returns

Quality. All goods are manufactured to ISO 9001:2015 standards and 100% inspected by our inline AVT vision systems. Each shipment is accompanied by a Certificate of Analysis (COA).

Claims. Any claim for defects, shortages or non-conformance must be made in writing within 14 days of delivery. Claims made after this period will not be accepted except where a latent defect could not reasonably have been discovered earlier.

Returns. Returns are accepted only with prior written authorisation. Goods must be returned in original condition. We will, at our option, replace defective goods or issue a credit note. We are not liable for any consequential loss arising from defective goods beyond the value of the order.

Customer-supplied artwork. We are not responsible for printing errors that are present in artwork approved by you. Pre-production proofs are provided to allow you to identify such issues before production begins.

7. Intellectual property

Your content. You retain all intellectual property rights in artwork, designs, trade marks and other materials you provide to us. By submitting them, you grant us a limited licence to use them solely for the purpose of fulfilling your order.

Our content. The Marks Group name, logo, website content, design studio software and platform are the exclusive property of Marks Emballage Private Limited and are protected by Indian and international intellectual property laws. You may not copy, reproduce, distribute or create derivative works without our prior written consent.

Tooling and plates. Tooling, dies and printing plates made specifically for your orders remain the property of Marks Group. If you have paid separately for tooling it will be retained for a minimum of 3 years.

8. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with these Terms (“Confidential Information”) and to use it only for the purposes of the commercial relationship. This obligation does not apply to information that is: (a) publicly known through no breach of this clause; (b) independently developed; or (c) required to be disclosed by law.

We are happy to execute a mutual Non-Disclosure Agreement on request. Contact your account manager or email it@marksgroup.in.

9. Limitation of liability

To the maximum extent permitted by applicable law:

  • Our total liability for any claim arising under or in connection with these Terms shall not exceed the value of the specific order giving rise to the claim.
  • We are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data, business interruption or reputational damage, even if advised of the possibility of such damages.
  • Nothing in these Terms limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify, defend and hold harmless Marks Emballage Private Limited and its officers, employees and agents from any claim, damage, liability, cost or expense (including reasonable legal fees) arising from: (a) your use of our Services; (b) your breach of these Terms; (c) any third-party claim that artwork or materials you provided infringe any intellectual property right; or (d) your violation of applicable law.

11. Termination

Either party may terminate the commercial relationship on 30 days' written notice. We may suspend or terminate your access to our platform immediately if you breach these Terms, fail to make payment when due, or engage in conduct that we reasonably consider harmful to Marks Group or other customers.

Termination does not affect any rights or obligations that have accrued before the termination date. Sections 7 (Intellectual property), 8 (Confidentiality), 9 (Limitation of liability) and 10 (Indemnification) survive termination.

12. Governing law & disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Himachal Pradesh, India, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

Before commencing formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.

13. Changes to terms

We may revise these Terms at any time by posting an updated version on our website. We will provide reasonable notice of material changes, such as by email or a prominent notice on our site. Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance of the changes.
